The simplified tender offer filed by the French State for EDF's equity securities was declared compliant by the French Financial Market Authority (AMF) on 22 November 2022. The Offer price is 12€ per EDF share. The Offer is opened since 24 November 2022

On 7 December 2022, the AMF informed of the extend pending of the Offer, whose initial closing date was 22 December 2022. On 25 January 2023, the French Financial Market Authority announced that the Offer will be closed on 3 February 2023, subject to its reopening in accordance with the undertakings of the French Sate described in the attached press release.

Shareholders who tender their shares under the semi-centralized Offer by Euronext will received their payments, based on a price of 12 euros per share, as of 13 February 2023.

If this is not the case, we invite you to contact your financial intermediary. Pay attention to response times, which may differ depending on the financial intermediaries. Do not forget to take postal delays into account.

If you have not yet tendered your shares to the Offer, and wish to participate, you have until 3 February 2023 to do so. It is recalled that any shareholder is free to tender or not their shares to the Offer.

Bearer shareholder

Administered shareholder

You have received information from your financial intermediary on the Offer. If you need more information, we invite you to contact him.

Pure registered shareholder

If you wish to tender your shares to the Offer, and have not yet done so, you can either:

  1. tender your shares directly to the Offer via Uptevia* (the response form that has been sent to you by mail remains valid until the closing of the Offer);
  2. tender your shares to the Offer via your financial intermediary;
  3. sell your shares directly on the stock exchange via your financial intermediary.

If you opt for solution 2 or solution 3, you must first convert your shares to administered registered or bearer form.

*Uptevia is a joint venture owned equally by BNP Paribas and CACEIS, combining both banks’ issuer services divisions.

Shareholder of EDF’s Group savings plan (“PEG”, Plan d’épargne groupe)

You do not need to take any action. The decision is that of the Supervisory Boards of the EDF’s Group savings plan.
